Welcome to Marcelle Labs. These Terms of Service (“Terms”) govern your access to and use of our website, digital services, and consulting engagements. By visiting our site or contracting our services, you agree to these Terms in full.

1. Acceptance of Terms

By accessing marcellelabs.io or engaging with our team, you confirm that you are at least 18 years old and legally capable of entering into a binding agreement. If you disagree with any part of these Terms, please do not use our services.

2. Services We Provide

Marcelle Labs offers web development, automation consulting, digital strategy, and brand system design services. These may be delivered as one-time deliverables, ongoing retainers, or white-labeled solutions. Specific service scopes are outlined in our proposals, invoices, or signed agreements.

3. Payment Terms

• Project work typically requires a 50% deposit, with final payment due upon completion or launch.
• Ongoing services are billed monthly unless otherwise agreed in writing.
• Late payments may incur a 5% fee after 10 calendar days past due.

4. Intellectual Property

Unless stated otherwise, Marcelle Labs retains ownership of all code, strategy, and deliverables until full payment is received. After payment, clients are granted a perpetual, non-exclusive license to use the work for their intended business use.

5. User Responsibilities

• You agree to provide timely access, assets, and approvals required to complete the project.
• You are responsible for the accuracy and legality of content you provide to us.

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary or sensitive information shared during the engagement.

7. Third-Party Tools & Integrations

We may use third-party platforms (e.g., Google Analytics, Vercel, Supabase) to deliver services. You agree to be bound by their respective terms of use when applicable.

8. Limitation of Liability

Marcelle Labs shall not be liable for indirect, incidental, or consequential damages arising from your use of our services or website. Our total liability is limited to the amount paid for services in the previous 60 days.

9. Termination

Either party may terminate a service agreement with 14 days’ written notice. Any fees for work completed up to that point will remain payable.

10. Modifications

We may update these Terms occasionally. When we do, we’ll update the date at the top of this page. Continued use of our services implies acceptance of the latest version.

11. Governing Law

These Terms shall be governed by the laws of the State of Florida, USA, without regard to its conflict of law principles.
